These Terms of Use ("Terms", "Terms of Use") govern your access to and use of the website located at https://noders.team (the "Website") and any services provided by Noders LLC, an Exempted Company incorporated in the Cayman Islands with Limited Liability ("Noders", "Company", "we", "us", or "our").
By accessing or using our Website and Services, you ("User" or "you") agree to be legally bound by these Terms. You are required to carefully read these Terms before using our Services, and should you not agree to these Terms, you must not use the Services.
THESE TERMS CONTAIN A MANDATORY ARBITRATION CLAUSE THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIAL OR CLASS ACTIONS.
THESE TERMS ALSO CONTAIN A PROVISION TO NOTIFY US OF ANY CLAIMS IN A TIMELY MANNER AND PROVIDE A LIMITATION ON THE TIME TO FILE CLAIMS.
1. Definitions
For the purposes of these Terms, the following definitions apply:
"Blockchain Network" – a distributed and decentralized digital ledger that is not under the control of a single individual or entity and where transactions are recorded and verified without the control of a single entity.
"Digital Assets" – digital units, such as cryptographic tokens, cryptocurrencies, or other digital representations of value, that are tracked by and native to a specific Blockchain Network and can be used for Staking.
"Non-Custodial Services" – services where Noders does not hold, control, or have access to User private keys, wallets, or Digital Assets at any time.
"Services" – all services provided by Noders including but not limited to validator services, staking infrastructure, analytics platforms, custom blockchain applications, and information services accessible through the Website.
"Staking" – the process by which a User delegates Digital Assets to a Validator in order to participate in network consensus on a Blockchain Network and potentially earn rewards.
"Staking Platform" – the planned staking platform to be integrated with the Website that will allow users to delegate Digital Assets to Noders' validators.
"Staking Rewards" – Digital Assets distributed by the Blockchain Network to Users as an incentive for participating in Staking through a Validator.
"Validator" – an entity that operates validator nodes to participate in the consensus process on a Blockchain Network.
"Validator Fees" – percentage of Staking Rewards retained by the Validator as compensation for providing Services.
"Website" – Noders' online platform available at https://noders.team and any related domains, interfaces, and content.
2. Services
2.1 Overview
Noders provides professional blockchain validation services and related infrastructure across multiple networks including but not limited to Ethereum, Solana, Sui, Story, Berachain, Celestia, Namada, Nillion, Avail, Iotex, Fuel, EigenLayer, LIDO SSV, Obol, NYM, Humans AI, Sophon, ZetaChain, Ava, Supra, Andromeda, Haqq, Jackal, Kopi, Kyve, Stride, and Zenrock.
2.2 Validation Services
Noders operates validator nodes on supported Blockchain Networks, providing enterprise-grade infrastructure with 24/7 monitoring and support from our team of DevOps engineers and developers. Our Services include:
Professional validation services across multiple blockchain networks
Non-custodial staking infrastructure
Custom blockchain applications and analytics platforms
Technical consulting and support for blockchain projects
2.3 Staking Platform
Noders may integrate a staking platform that enables Users to delegate their Digital Assets to Noders' validators. All staking services are strictly non-custodial, meaning:
Users retain full ownership and control of their Digital Assets at all times
Noders never has access to User private keys, wallets, or Digital Assets
Users are solely responsible for managing their wallet security and access credentials
2.4 Monitoring and Infrastructure
Noders maintains enterprise-grade infrastructure including:
Self-hosted monitoring tools (Prometheus, Grafana, Loki, Alerta, Uptime Kuma)
24/7 automated alerting via Telegram and email
Comprehensive system and blockchain-specific metrics monitoring
Professional DevOps team providing continuous oversight
2.5 No Guarantees
Noders does not guarantee uninterrupted service availability, specific staking rewards, or particular performance outcomes. Services depend on Blockchain Network conditions and governance decisions outside of Noders' control.
3. User Responsibilities and Eligibility
3.1 Eligibility
By using our Services, you represent and warrant that:
You are at least 18 years of age and have the legal capacity to enter into these Terms
Your use of the Services complies with all applicable laws and regulations in your jurisdiction
You are not located in, incorporated in, or a resident of any jurisdiction subject to comprehensive sanctions or restrictions
You are not listed on any government sanctions lists or prohibited parties lists
3.2 Compliance
You are solely responsible for:
Ensuring compliance with all applicable laws, including tax obligations
Securing your private keys, wallet credentials, and account information
Conducting due diligence before engaging with any blockchain networks or services
Understanding the risks associated with blockchain technology and Digital Assets
3.3 Prohibited Activities
You agree not to:
Use the Services for any unlawful or illegal activities
Attempt to gain unauthorized access to our systems or infrastructure
Interfere with or disrupt the Services or other users' access
Use automated tools to scrape or extract data from the Website
Impersonate Noders, its employees, or other users
Engage in any activity that could harm our reputation or business operations
4. Intellectual Property
4.1 Ownership
The Website and Services contain proprietary content, including but not limited to text, graphics, logos, designs, software, and other materials ("Content"). All Content is owned by Noders or licensed to Noders and is protected by copyright, trademark, and other intellectual property laws.
4.2 License
Subject to these Terms, Noders grants you a limited, non-exclusive, non-transferable license to access and use the Website and Services for their intended purposes.
4.3 Restrictions
You may not:
Copy, modify, or create derivative works of the Website or Services
Reverse engineer, decompile, or disassemble any software
Use Noders' trademarks, logos, or branding without written permission
Remove or alter any proprietary notices
5. Privacy and Data Collection
5.1 Data Collection
The Website may collect information through:
Google Analytics for website performance analysis
Contact forms and user interaction tracking
Cookies and similar technologies as implemented by the Framer platform
5.2 Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
6. Fees and Payments
6.1 Validator Fees
For validation services, Noders charges Validator Fees as a percentage of Staking Rewards earned through our validators. Applicable fees are published on the Website for each supported network.
6.2 Fee Changes
Noders reserves the right to modify its Validator fees at any time, without prior notice to Users. Continued use of Services after fee changes constitutes acceptance of the new fees.
7. Risks and Disclaimers
7.1 Blockchain Risks
You acknowledge and accept that blockchain technology and staking involve inherent risks, including but not limited to:
Slashing Risk: Validator penalties that may result in loss of staked Digital Assets
Network Risks: Blockchain network failures, downtime, or governance changes
Market Risks: Volatility in Digital Asset values
Technical Risks: Software bugs, security vulnerabilities, or protocol changes
Regulatory Risks: Changes in applicable laws or regulations
7.2 Non-Custodial Nature
Noders operates as a non-custodial service provider and:
Does not hold, manage, or control User Digital Assets or private keys
Cannot recover lost private keys or reverse transactions
Is not responsible for wallet security or unauthorized access
Does not guarantee the security or functionality of third-party wallets
7.3 Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NODERS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
8.1 Damages Limitation
TO THE FULLEST EXTENT PERMITTED BY LAW, NODERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF DIGITAL ASSETS, PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
8.2 Maximum Liability
IN NO EVENT SHALL NODERS' TOTAL LIABILITY EXCEED THE AMOUNT OF VALIDATOR FEES PAID BY YOU TO NODERS DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
8.3 Force Majeure
Noders shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to network failures, government actions, natural disasters, or cyberattacks.
9. Indemnification
You agree to indemnify, defend, and hold harmless Noders, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
Your use or misuse of the Services
Your violation of these Terms
Your violation of any applicable laws or third-party rights
Any unauthorized or fraudulent activity conducted through your accounts
10. Termination
10.1 Termination Rights
Either party may terminate these Terms at any time. Noders may immediately suspend or terminate your access to the Services if you breach these Terms.
10.2 Effect of Termination
Upon termination:
Your right to access the Services immediately ceases
You must discontinue all use of the Website and Services
Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution shall survive
11. Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to conflict of law principles.
11.2 Arbitration
ANY DISPUTE ARISING FROM OR RELATING TO THESE TERMS SHALL BE RESOLVED THROUGH BINDING ARBITRATION RATHER THAN IN COURT. Arbitration shall be conducted in the Cayman Islands under the rules of the Cayman Islands arbitration procedures.
11.3 Class Action Waiver
YOU AGREE THAT DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION.
11.4 Notice of Claims
ANY CLAIM MUST BE REPORTED TO US WITHIN SIX (6) MONTHS AFTER THE CLAIM FIRST ARISES, OR IT WILL BE PERMANENTLY BARRED.
11.5 Time Limitation
ANY CAUSE OF ACTION ARISING FROM THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OR IT WILL BE PERMANENTLY BARRED.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Noders regarding the Services.
12.2 Modifications
Noders reserves the right to modify these Terms at any time. Continued use of the Services after modifications constitutes acceptance of the revised Terms.
12.3 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.4 No Waiver
Noders' failure to enforce any right or provision shall not constitute a waiver of such right or provision.
12.5 Assignment
You may not assign your rights under these Terms without our written consent. Noders may assign these Terms without restriction.
